1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Rexels ("we," "us," or "our") governing your access to and use of the Rexels platform, including our website, applications, and AI-powered content generation services (collectively, the "Service").
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use Rexels. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Your continued use after changes become effective constitutes acceptance.
2. Description of Service
Rexels provides AI-powered tools for YouTube content creators, including:
- Thumbnail Generation — Create AI-generated thumbnails from text prompts and style preferences
- Thumbnail Editing — Modify existing images using AI-powered editing tools
- Title Generation — Generate optimized video titles using AI analysis
- Face Swap — Replace faces in images using your Face Library
- Style Analysis — Analyze competitor thumbnails to understand effective design patterns
AI Limitations: Our AI systems generate content based on probabilistic models. Results may vary and are not guaranteed to meet specific expectations, achieve particular outcomes, or be free from errors. AI-generated content should be reviewed before use.
3. Account Registration
3.1 Eligibility
You must be at least 16 years old to use Rexels. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.
3.2 Account Responsibilities
- Provide accurate, current, and complete registration information
- Maintain the confidentiality of your account credentials
- Immediately notify us of any unauthorized access at security@rexels.app
- Accept responsibility for all activities that occur under your account
- Use only one account per person (multiple accounts may be terminated)
3.3 Account Sharing
Account credentials may not be shared with others. For team access, we will offer team/organization plans in the future. Contact us if you need multi-user access.
4. Credits, Payments & Refunds
4.1 Credit System
Rexels operates on a credit-based system. Credits are consumed when you use AI generation features:

Credit costs are subject to change. We will notify you of changes before they take effect.
4.2 Purchasing Credits
Credits may be purchased through one-time credit packs or subscription plans. All payments are processed securely through Stripe. Prices are displayed in USD and may be subject to applicable taxes based on your location.
4.3 Subscriptions
- Subscriptions auto-renew at the end of each billing period unless cancelled
- You may cancel at any time; cancellation takes effect at the end of the current period
- No prorated refunds for mid-cycle cancellations
- Subscription credits are granted at the start of each billing period
- Unused credits from the previous period may roll over (plan-dependent)
4.4 Refund Policy
General Rule: Credits and subscriptions are non-refundable once purchased.
Exceptions — We will provide credit refunds for:
- Technical failures — When generation fails due to our system errors (not rejected prompts)
- Duplicate charges — Accidental double-billing will be fully refunded
- Unauthorized transactions — Fraudulent purchases will be reversed
Refund requests must be submitted within 14 days to support@rexels.app.
4.5 Credit Expiration
Credits do not expire while your account remains active. If your account is terminated for Terms violations, unused credits are forfeited. If you voluntarily close your account, unused credits are forfeited unless you request a refund within 7 days of closure.
5. Intellectual Property Rights
5.1 Your Content
Ownership: Subject to these Terms and applicable law, you retain ownership of:
- Prompts and text inputs you provide
- Images you upload (reference images, Face Library)
- AI-generated content created for you through the Service
Important Copyright Notice: Under current U.S. law (affirmed in Thaler v. Perlmutter, 2025), purely AI-generated content without substantial human creative input may not be eligible for copyright protection. You may use and commercialize AI-generated content, but you may not be able to prevent others from copying it. This is not legal advice — consult an attorney for your specific situation.
5.2 License to Rexels
By uploading content or generating content through the Service, you grant Rexels a limited license to:
- Store, process, and display your content to provide the Service
- Create backups for disaster recovery purposes
- Analyze anonymized, aggregated usage patterns to improve the Service
We do NOT:
- Use your content for marketing without explicit permission
- Sell or license your content to third parties
- Use your identifiable content to train AI models without separate consent
5.3 Rexels Platform
Rexels retains all rights to the Service, including our software, AI models, algorithms, user interface designs, branding, and documentation. You may not copy, modify, reverse engineer, or create derivative works based on our technology.
5.4 Third-Party Content
You are solely responsible for ensuring you have the rights to any content you upload, including reference images and faces. Do not upload copyrighted material you don't have rights to use, or images of people without their consent.
6. Acceptable Use Policy
You agree to use Rexels only for lawful purposes and in accordance with these Terms.
6.1 Prohibited Content
You may not use the Service to create, upload, or distribute:
- Illegal content — Anything that violates applicable laws
- Child exploitation — Any sexual or exploitative content involving minors (zero tolerance, reported to authorities)
- Non-consensual intimate imagery — Sexual content of real people without consent
- Harassment or threats — Content targeting individuals with abuse, threats, or doxxing
- Hate speech — Content promoting violence or discrimination based on protected characteristics
- Extreme violence — Gore, torture, or graphic violence
- Malware or phishing — Content designed to deceive or harm users
6.2 Face Swap Ethics
Face Swap carries special responsibilities:
- Consent required — You must have consent from any identifiable person whose face you use
- No deceptive deepfakes — Do not create content intended to deceive viewers about authenticity
- No impersonation — Do not impersonate public figures for fraud, misinformation, or harassment
- Your own face only — Only upload faces you have rights to use (yourself, consenting individuals)
- Label AI content — When required by law (e.g., EU AI Act), disclose that content is AI-generated
Violations of the DEFIANCE Act, TAKE IT DOWN Act, or similar legislation may result in immediate termination and referral to law enforcement.
6.3 Prohibited Conduct
- Attempting to reverse engineer, decompile, or extract our AI models
- Using automated tools to scrape or extract data from the Service
- Circumventing usage limits, rate limits, or access controls
- Reselling access to the Service without authorization
- Interfering with the Service's security or infrastructure
- Creating multiple accounts to abuse free credits or evade bans
- Using the Service to compete with Rexels or train competing AI models
6.4 Commercial Use
You may use AI-generated content for commercial purposes, including YouTube videos, marketing materials, and merchandise, subject to copyright limitations noted above. You are solely responsible for ensuring your use complies with applicable laws and platform terms (e.g., YouTube's Terms of Service).
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the maximum extent permitted by law, Rexels disclaims all warranties, including but not limited to:
- Accuracy — AI-generated content may contain errors, inaccuracies, or inappropriate elements
- Fitness for purpose — Results may not meet your specific needs or expectations
- Non-infringement — AI may inadvertently generate content similar to existing copyrighted works
- Availability — The Service may experience downtime or interruptions
- Data security — While we implement security measures, no system is 100% secure
You acknowledge that AI technology is evolving and may produce unexpected results. Always review generated content before publishing or commercial use.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Rexels, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or content
- Reputational damage
- Costs of procuring substitute services
- Any damages arising from your content or use of AI-generated content
Our total liability for any claims arising from or related to the Service shall not exceed the greater of: (a) the amount you paid to Rexels in the 12 months preceding the claim, or (b) $100 USD.
Some jurisdictions do not allow limitation of liability for certain types of damages. In such cases, our liability is limited to the minimum extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Rexels and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Content you create, upload, or distribute using the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Claims by third parties arising from your use of Face Swap features
10. Termination
10.1 Termination by You
You may close your account at any time through Settings > Privacy > Delete Account. Upon closure, your data will be deleted in accordance with our Privacy Policy.
10.2 Termination by Rexels
We may suspend or terminate your account if:
- You violate these Terms or our Acceptable Use Policy
- You engage in fraudulent activity
- Your use poses a security risk to others
- Required by law or legal process
For violations other than those requiring immediate action (e.g., illegal content), we will provide 7 days' notice before termination when feasible.
10.3 Effect of Termination
- Your right to access the Service ends immediately
- Unused credits are forfeited (except for voluntary closure within 7 days of purchase)
- Your content will be deleted per our data retention policy
- Provisions that should survive termination (IP rights, liability limits, disputes) remain in effect
11. Dispute Resolution
11.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at legal@rexels.app and attempt to resolve the dispute informally for at least 30 days.
11.2 Arbitration Agreement
For U.S. Users: Any dispute not resolved informally shall be resolved through binding arbitration administered by JAMS under its Consumer Arbitration Rules. Arbitration will be conducted in English, and the arbitrator's decision is final and binding.
Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions or class-wide arbitration.
11.3 Exceptions
Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service. Small claims court actions are also exempt from arbitration.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. For non-U.S. users, mandatory consumer protection laws of your jurisdiction may also apply to the extent they cannot be waived.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rexels regarding the Service and supersede all prior agreements.
13.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
13.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right.
13.4 Assignment
You may not assign your rights under these Terms. Rexels may assign its rights to an affiliate or successor in connection with a merger, acquisition, or sale of assets.
